CONFIDENTIALITY AGREEMENT
Parties and purpose. The undersigned recipient requests confidential information from The Luberto Group about the hospitality business opportunities it presents, including private listings that are not publicly advertised. The information is to be used only to evaluate a potential purchase. One signed agreement covers every hospitality opportunity we present to you.
Why discretion matters. Many of the businesses we represent are open and serving customers. Owners trust us to protect their privacy so that employees, customers and competitors do not learn that a business may be for sale. Your care with this information protects them, and it protects the value of the opportunity you are considering.
Confidential information. Nonpublic financial statements, operating information, offering materials, business identities, and other nonpublic information disclosed for that purpose are confidential. Information already lawfully known, independently developed, publicly available without breach, or lawfully obtained from another source is excluded.
Recipient obligations. Use the information only to evaluate the opportunity. Protect it with reasonable care. Do not disclose it except to professional advisers who need it for this purpose and are bound by confidentiality obligations. Do not contact the business's staff, customers, vendors, or landlord about the proposed transaction without the advisor's prior written approval.
Be considerate before sharing. Confidential information provided under this agreement should not be shared, forwarded or emailed to anyone else. If a partner, investor or associate would like to receive the information, we welcome them to visit www.thelubertogroup.com and complete our confidentiality agreement directly. Once acknowledged, we will be glad to include them in the conversation.
Required disclosure and return. If disclosure is legally required, notify the advisor when legally permitted and disclose only what is required. On request, return or delete confidential materials, except records required by law or professional retention duties, which remain confidential.
No commitment or warranty. Disclosure does not constitute an offer, promise of accuracy, exclusivity, or commitment to transact. Independent due diligence is required. No license or ownership rights are transferred. Confidentiality obligations continue for two years from submission; trade secrets remain protected while qualifying as trade secrets under applicable law.
Electronic acknowledgment. Typing your full legal name and checking the consent box records your acknowledgment of these displayed terms and consent to an electronic record. The Luberto Group must review the submission before releasing any materials. This draft does not replace a seller-specific, attorney-approved NDA where required.
